Terms of Service

These Terms of Service (the “Terms”) are an agreement between Kuonrāt Consulting, LLC, a Utah single-member limited liability company located in Spanish Fork, Utah (“Kuonrāt Consulting,” “I,” or “me”), and the individual or organization purchasing or booking services (“you” or “Client”).

By booking a session, submitting an intake form, or completing payment, you agree to these Terms on behalf of yourself and any organization you represent, and you confirm you have authority to do so.

These Terms cover the following services:

• Discovery Call — a free introductory conversation. No fee, no obligation, and no engagement is created by the call itself.
• Strategy Session — a paid working session focused on the challenge you identify in your intake form. Fee: $250, charged once at booking.

Sessions are booked through the scheduling tool on this site. Available times are offered in U.S. Mountain Time and displayed in your local time zone. Booking a time reserves it for you; no time is held until booking is complete.

You choose video or phone when you book. Both run on Google Meet: video sessions use the meeting link in your confirmation email, and phone sessions join by calling the Meet dial-in number and PIN in that same email. You are responsible for your own connection, equipment, and a setting where you can speak freely.

Recording. Sessions are recorded and transcribed by default, and you agree to this when you book, so I can keep an accurate record and prepare notes for you. Recordings and transcripts are kept for one (1) year after the session and then deleted. Special arrangements may be made on request before the session, at my discretion.

If you are more than fifteen (15) minutes late without notice, the session may be treated as a no-show and the fee is not refundable under Section 5. Sessions end at their scheduled end time regardless of a late start.

• 24 hours or more before the start time: you may cancel or reschedule at no charge.
• Less than 24 hours before the start time: paid sessions may be rebooked one time, at my discretion, as a courtesy. Repeated late changes or no-shows may result in forfeiture of the session.
• Discovery Calls carry no fee and may be canceled at any time, though advance notice is appreciated.

If I need to cancel or move a session, you will be offered the next available time or a full refund of that session, at your choice.

Payments are processed by Stripe. Kuonrāt Consulting does not receive or store your full card details; your payment information is handled by Stripe under its own terms and privacy policy. Fees are stated in U.S. dollars and exclude any taxes that may apply.

Strategy Session — money-back guarantee. The $250 fee is charged at booking. Every Strategy Session is backed by a money-back guarantee: if you don't feel the session was worth your time, request a refund within thirty (30) days of the session and you will receive the full fee back. No explanation is required. The guarantee is limited to a refund of the session fee and is not a promise of any particular result.

Discovery Call. Free; no refund applies.

Advice is only as good as the information behind it. You agree to provide accurate, complete, and timely information, including in intake forms, and to promptly correct anything that changes materially.

You remain solely responsible for your own business decisions, for evaluating any recommendation before acting on it, and for compliance with laws and obligations that apply to your business.

Information you share — intake responses, financials, operating details, personnel matters, strategy, and anything reasonably understood as sensitive — is treated as confidential. It is used only to deliver the services you have engaged, is not sold or shared for marketing, and is not disclosed to third parties except: (a) to service providers used to operate the business, such as scheduling, video meetings, recording and transcription, AI tools that help prepare session notes, email, and payment processing, under their own obligations; (b) with your permission; or (c) where disclosure is required by law.

Confidentiality does not apply to information that is already public, that you make public, or that is received independently without an obligation of confidence. These obligations continue for three (3) years after our last engagement.

If you need a mutual non-disclosure agreement in place before sharing sensitive material, say so before your session and one can be signed first.

You keep ownership of everything you provide. Any notes, frameworks, models, or summaries prepared for you may be used freely inside your organization for your own business purposes.

Kuonrāt Consulting retains ownership of its underlying methods, templates, and general know-how, including the right to reuse general knowledge and experience gained, so long as no confidential client information is disclosed.

Neither party will publicly reference the other as a client or advisor without prior written permission.

Services consist of general business and management consulting: advice, analysis, and recommendations on strategy, offers, operations, organizational structure, roles, and marketing and sales. They are not legal, accounting, tax, investment, or licensed financial advice, and they are not a substitute for advice from professionals in those fields. You should engage qualified professionals for those matters.

Services also do not include business or asset valuations; advice on mergers, acquisitions, or the sale of a business; securities or fundraising advice; financial auditing; or recruiting, staffing, or placement of candidates. General guidance on what roles to hire for and how to structure them is within scope; sourcing, screening, or placing specific people is not.

No specific financial, operational, or organizational result is promised or guaranteed. Outcomes depend on factors outside my control, including your execution, your team, your market, and your timing. Services are provided “as is,” and except as expressly stated in these Terms, all warranties, express or implied, are disclaimed to the fullest extent permitted by law.

To the fullest extent permitted by Utah law, the total liability of Kuonrāt Consulting, LLC and its owner arising out of or relating to these Terms or the services, on any theory of liability, will not exceed the total amount you paid for the specific service giving rise to the claim during the three (3) months before the event on which the claim is based.

Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. This applies whether or not either party was aware that such damages might occur. Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or willful misconduct.

You agree to indemnify and hold harmless Kuonrāt Consulting, LLC and its owner from third-party claims arising out of your business decisions, your implementation of any recommendation, or your breach of these Terms.

Engagements are collaborative and are expected to stay professional and respectful. I may decline or end an engagement if there is abusive conduct, a request to act unlawfully or unethically, a conflict of interest, or a persistent failure to provide information or pay.

Kuonrāt Consulting is an independent contractor. These Terms do not create an employment, partnership, joint venture, agency, or fiduciary relationship, and neither party may bind the other. Services are non-exclusive; I may work with other clients, including in your industry, subject to Section 7.

These Terms may be updated from time to time. The version in effect when you book or pay for a service governs that service.

These Terms are governed by the laws of the State of Utah, without regard to conflict of law rules. Before filing any action, the parties agree to attempt to resolve the dispute in good faith by direct discussion for at least thirty (30) days after written notice. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Utah County, Utah, and both parties consent to that jurisdiction.

If any provision of these Terms is found unenforceable, the rest remains in effect. These Terms, together with any engagement letter for a specific project, are the entire agreement between the parties regarding the services described here.
